Terms of Service

> Working legal draft — not legal advice. Align with the live Shopify storefront, mailbox, and apps before publication.

Effective date: November 6, 2026

> Website starting prices are indicative. A written quote or statement of work governs each engagement.

Agreement

These Terms of Service govern your use of the Lessonwell Studio website and the design services offered by LESSONWELL STUDIO LLC (“Lessonwell Studio,” “we,” “us”). By using the website, submitting a brief, or engaging our services, you agree to these terms and to any project-specific quote or statement of work we confirm in writing.

If these terms conflict with a signed statement of work, the statement of work controls for that project. If you do not agree, please do not use the website or request our services.

Website use

You may use the website for lawful purposes related to learning about and requesting our services. You agree not to:

  • submit false, misleading, or unauthorized information;
  • attempt to disrupt, probe, or gain unauthorized access to the website or its servers;
  • send spam, malware, or unrelated solicitations through the form; or
  • copy or scrape website content, design, or code for resale or for a competing service.

We may suspend access or decline requests that appear abusive or unlawful.

Services

We provide UI/UX and digital product design services, including user research, wireframes and prototypes, website and mobile interface design, design systems, interface audits, and design handoff packs, as described on the website and scoped in writing. Descriptions on the website summarize typical starting packages; they are not a commitment to a specific outcome.

We do not provide software engineering, hosting, legal advice, accessibility certification, or marketing performance guarantees unless expressly agreed in writing. Final implementation of any design is the responsibility of you and your build team.

Quotes, scope, and payment

Starting prices on the website describe the typical first-pass scope. Final fees, timelines, revision rounds, screen or frame counts, and deliverables are confirmed in a written quote or statement of work before work begins.

Payment schedules (for example a deposit and milestone invoices) are stated in the quote or invoice. Invoices are due by the date shown. Late or incomplete payment may pause delivery and the release of files. Requests beyond the agreed scope, including extra screens, extra revision rounds, or new platforms, are quoted separately. Taxes, where applicable, are your responsibility.

Revisions and approvals

Each starting package includes the revision rounds stated in its scope, usually one consolidated feedback round after the first delivery. Feedback should be provided in one consolidated set by a single point of contact. Work is considered approved when you confirm it in writing or when you use it in a live product, whichever happens first.

If feedback is not received within ten business days of delivery, we may treat the milestone as complete and invoice any remaining balance for it.

Intellectual property

Concepts until payment. Design concepts, drafts, explorations, and unapproved variations remain the property of Lessonwell Studio until all fees for the relevant deliverable are paid in full. Until then you may review them for evaluation only and may not publish, build from, or sublicense them.

On payment. After full payment, you receive the rights described in the project agreement, typically a license or assignment to use the final approved designs for the stated product. Unselected concepts and our general know-how, methods, and reusable processes stay with us.

Client materials. Brand assets, text, product data, research recordings, screens, and other materials you provide stay yours. You grant us a limited license to use them only to perform the work. Third-party fonts, icons, or stock assets used in a design may carry their own licenses; we will identify those we know about.

Portfolio use. We will show your project in our portfolio only with your written permission.

Client responsibilities

You confirm that you have authority to share the materials provided for the project and that they do not infringe third-party rights or violate any law. You agree to supply requested access, content, and decisions on time, and to name a person who can approve work. Delays in feedback or materials may extend delivery dates and may affect the schedule of other work.

Confidentiality

We treat non-public information you share about your product, users, and business as confidential and will use it only for the engagement. This does not cover information that is already public, that we already knew, or that we must disclose by law. Either party may request a separate written non-disclosure agreement before sharing sensitive material.

Third-party tools and links

Our work may rely on third-party design, hosting, or collaboration tools. Those tools have their own terms and availability, and we are not responsible for their outages or changes. Links on the website to outside sites are provided for convenience and do not imply endorsement.

Disclaimer of warranties

The website and services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Design work aims for clarity and usability, but we do not guarantee conversion, ranking, downloads, revenue, or regulatory compliance.

Limitation of liability

To the fullest extent permitted by law, Lessonwell Studio is not liable for indirect, incidental, special, or consequential damages, lost profits, or outcomes that depend on implementation, marketing, or third-party platforms. Our aggregate liability for a project is limited to the fees you paid for that project in the twelve months before the claim arose.

Indemnification

You agree to indemnify and hold harmless Lessonwell Studio from claims, damages, and reasonable costs arising from materials you provide, your breach of these terms, or your use of the delivered designs in violation of law or third-party rights.

Termination

Either party may end an engagement in writing. Fees for work performed through the termination date remain payable, and cancellation is subject to our Refund Policy. Sections on intellectual property, confidentiality, payment, disclaimers, and liability survive termination.

Governing law and disputes

These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. The parties will first try to resolve any dispute informally by written notice and good-faith discussion for at least 30 days. Any claim that is not resolved will be brought in the state or federal courts located in Wyoming, and each party consents to that jurisdiction.

Changes to these terms

We may update these terms from time to time. The effective date shows the latest revision. Continued use of the website after a change means you accept the updated terms. Changes do not alter a signed statement of work.
